Semiotech, LLC (“Semiotech”) offers you access to the websites, content, services, and functionality on InvalidityCharts.com (collectively, the “App”) on the condition that you agree to these Terms of Use (“Agreement” or “Terms”). In this Agreement, the term “you” means the person agreeing to the Terms. BY REGISTERING FOR, OR USING, THE APP, YOU SIGNIFY ELECTRONICALLY YOUR AGREEMENT TO THESE TERMS.
Semiotech may amend the terms of this Agreement from time to time by posting revised terms on the App and/or by providing you written notice of such amendment, which notice may be provided via email. Any revised terms will take effect from the date of posting or notice to you unless otherwise specified in such posting or notice. Your use of the App after the effective date of any such amendment shall constitute your agreement to the revised terms.
Limited license
Semiotech grants you a non-exclusive, non-transferable, limited license to access and use the App.
Semiotech’s technology
Semiotech retains all right, title, and interest (including, but not limited to, intellectual property rights) in and to the App. Semiotech may change or discontinue any feature or offering of the App at any time and without notice.
Restrictions on use
You may not (1) use the App in any way that is unlawful or violates the rights of Semiotech or any third party; (2) bypass any measures Semiotech uses to restrict access to the App; (3) interfere with or impede the ability of others to use the App; (4) reverse engineer, disassemble, or otherwise attempt to discover the source code or underlying ideas of the App; or (5) use the App to develop any similar or competing service.
Registration
You agree to provide current, accurate, and complete registration information. You further agree to promptly update your registration information to keep it current, accurate, and complete.
You are responsible for maintaining the confidentiality of your password. You may not authorize any third party to access or use the App via your account. You are responsible for all activities under your account, including any and all legal liability incurred from the use of your account by you or others. Semiotech cannot and will not be liable for any loss or damage arising from any unauthorized use of your account.
Purchases
Prior art documents may be purchased for $150 per document. You are responsible for all purchases made in projects that you own, including unauthorized purchases made by participants in your projects. You are deemed the owner of all projects you create, whether from scratch or by duplication. All purchases are nonrefundable.
Semiotech will provide you invoices for purchases made in your projects. Invoices will typically be sent via email during the first week of each month. You agree to pay each invoice within two weeks of its send date.
Your Information
You consent to the Privacy Notice, which may be updated from time to time.
Disclaimer of warranties
Your use of the App is at your own risk. Semiotech provides the App “as is,” “as available,” and “with all faults.” To the extent permitted by law, Semiotech disclaims all warranties, including, without limitation, any warranties of merchantability, fitness for a particular purpose, and non-infringement.
Not legal advice
The App does not constitute legal advice and no attorney-client relationship is formed.
Limitation of liability
To the extent permitted by law, Semiotech shall not be liable for any special, indirect, incidental, consequential, or exemplary damages arising from your use of the App, even if Semiotech knew or should have known about the possibility of such damages. In no event shall Semiotech’s aggregate liability to you for any and all claims relating to your use of the App exceed the lesser of your actual, direct damages and the amount you paid for the particular purchase at issue. Your right to monetary damages in that amount shall be in lieu of all other remedies.
Links to other sites
The App may contain links to third-party websites. Semiotech makes no representations about any such websites. If you access a third-party website from the App, you do so at your own risk, and you understand that these Terms and Semiotech’s Privacy Notice do not apply to your use of that site.
Indemnification
You agree to indemnify, defend, and hold harmless Semiotech and its members, employees, assigns, successors-in-interest, attorneys, contractors, vendors, suppliers, licensors, and licensees from and against any and all claims, damages, causes of action, costs (including reasonable attorneys’ fees), and other expenses that arise directly or indirectly from: (1) your actual or alleged breach of these Terms; or (2) any allegation that any content you submitted to the App infringes, misappropriates, or otherwise violates the copyright, trademark, trade secret, or other intellectual property rights of any third party.
Choice of law and forum
The laws of the State of New York shall govern this Agreement and any dispute or claim you may have against Semiotech, without regard to New York conflict of laws rules. Any dispute or claim you may have against Semiotech shall be resolved by a court located in New York County. You consent to personal and subject matter jurisdiction in such courts.
Electronic contracting
Your affirmative act of registering for, or using, the App constitutes your electronic signature to this Agreement and your consent to enter into agreements with Semiotech electronically. All contracts completed electronically will be deemed for all legal purposes to be in writing and legally enforceable as a signed writing.
Electronic notices
You agree that Semiotech may communicate with you via email. The delivery of any email communication from Semiotech is effective when sent, regardless of when or whether you receive or read it.
Severability
If any portion of this Agreement is held invalid or unenforceable, (1) that portion shall be reformed in a manner consistent with its original intent and applicable law, and (2) the remainder of these Terms shall remain in full force and effect.
Entire agreement
These Terms constitute the entire agreement between you and Semiotech and supersede any previous written or oral communications.
